Welcome to the website of New York Event Contract Exchange, Inc. ("NYECX," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the NYECX website located at https://nyecx.com (the "Site").

By accessing or using this Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use this Site.

These Terms apply solely to your use of this marketing and informational website. They do NOT govern:

  • Trading on the NYECX platform or exchange

  • Participation as an institutional member or trader

  • Execution, clearing, or settlement of event contracts

  • Account registration and access to trading systems

If you become a registered participant on the NYECX trading platform, separate and comprehensive legal agreements will govern your relationship with NYECX, including but not limited to participation agreements, trading rules, and operational procedures.

1.2 Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time without prior notice. Changes will be effective immediately upon posting to the Site with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

1.3 Additional Terms

Certain areas of the Site may be subject to additional terms and conditions, which will be presented to you at the time of access. Those additional terms are incorporated into these Terms by reference.

2. Eligibility and Registration

2.1 General Eligibility

This Site is intended for use by:

  • Qualified institutional investors and sophisticated financial market participants

  • Representatives of corporations, financial institutions, and professional entities

  • Individuals aged 18 or older with legal capacity to enter into binding agreements

By using this Site, you represent and warrant that you meet these eligibility requirements.

To the fullest extent permitted by law, NYECX disclaims all warranties, including but not limited to:

Event contracts and derivatives trading involves substantial risk of loss and is not suitable for all investors. You acknowledge that:

  • No trading strategy or system guarantees profits

  • Market conditions can change rapidly and unpredictably

7.4 Regulatory Status

NYECX is in the process of seeking regulatory approval to operate as a Designated Contract Market (DCM) under CFTC regulations. Until such approval is obtained, NYECX cannot offer trading services to U.S. persons. Information about our planned services is subject to change based on regulatory requirements and approvals.

7.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYECX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages

  • Any loss of profits, revenue, data, goodwill, or business opportunities

  • Any damages arising from your use of or inability to use the Site

  • Any damages resulting from errors, omissions, interruptions, deletions, defects, delays, viruses, or security breaches

  • Any damages based on third-party content or linked websites

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not NYECX has been advised of the possibility of such damages.

IF YOU ARE DISSATISFIED WITH THE SITE OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

7.6 Maximum Liability Cap

In jurisdictions that do not allow the exclusion or limitation of certain damages, NYECX's total liability to you for all claims arising from or related to the Site shall not exceed the greater of (a) $100 or (b) the amount you paid to NYECX in the twelve months preceding the claim, if any.

7.7 Essential Purpose

You acknowledge that the disclaimers and limitations in this Section 7 are essential elements of the agreement between you and NYECX, and that NYECX would not provide access to the Site without these limitations.

8. Indemnification

You agree to indemnify, defend, and hold harmless NYECX and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

  • Your use of or inability to use the Site

  • Your violation of these Terms

  • Your violation of any rights of third parties

  • Your violation of any applicable laws or regulations

  • Any content or information you submit, post, or transmit through the Site

  • Any negligent or willful misconduct by you

NYECX reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with NYECX's defense of such claims.

9. Privacy and Data Protection

9.1 Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.   • No method of internet transmission or electronic storage is completely secure

  • We cannot guarantee absolute security of information transmitted through the Site

  • You transmit information at your own risk

11. Termination

11.1 Termination by NYECX

We reserve the right, in our sole discretion, to:

  • Terminate or suspend your access to the Site immediately, without prior notice or liability

  • Refuse service to anyone for any reason at any time

Grounds for termination may include, but are not limited to:

  • Violation of these Terms

  • Fraudulent, abusive, or illegal activity

  • Providing false or misleading information

  • Actions that may harm NYECX, other users, or third parties

11.2 Effect of Termination

Upon termination:

  • Your right to access and use the Site immediately ceases

  • We may delete or deactivate your account and related information

  • We are not liable to you or any third party for termination

  • Sections of these Terms that by their nature should survive termination shall continue in effect, including Sections 4, 7, 8, 12, and 13

11.3 Termination by You

You may stop using the Site at any time. If you wish to delete your account or unsubscribe from communications, please contact us at the information provided in Section 15.

12. Dispute Resolution and Arbitration

12.1 Governing Law

These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

12.2 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and NYECX agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (collectively, "Disputes") shall be resolved through binding arbitration, except as provided below.

Arbitration Procedures:

  • Arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules

  • The arbitration shall take place in New York, New York

  • The arbitrator's decision shall be final and binding

  • Judgment on the arbitration award may be entered in any court of competent jurisdiction

Exceptions to Arbitration: The following Disputes are NOT subject to arbitration:

  • Claims seeking injunctive or equitable relief for the protection of intellectual property rights

  • Small claims court actions, if they qualify

12.3 Class Action Waiver

YOU AND NYECX AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. You waive any right to bring or participate in:

  • Class actions

  • Class arbitrations

  • Collective actions

  • Representative actions

  • Consolidated proceedings with other individuals

The arbitrator may not consolidate multiple parties' claims and may not preside over any form of class or representative proceeding.

12.4 Jury Trial Waiver

To the extent arbitration does not apply, YOU AND NYECX WAIVE ANY RIGHT TO TRIAL BY JURY for any Dispute.

12.5 Venue

To the extent litigation is permitted under these Terms, you agree that any judicial proceeding shall be brought exclusively in the state or federal courts located in New York County, New York. You consent to personal jurisdiction and venue in these courts and waive any objection based on inconvenient forum.

12.6 Time Limitation

You agree that any claim or cause of action arising from or related to your use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

12.7 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to NYECX within thirty (30) days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement. Send opt-out notices to:

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and NYECX regarding your use of the Site and supersede all prior or contemporaneous understandings and agreements.

13.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. NYECX's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. NYECX may assign these Terms, in whole or in part, at any time without notice or consent. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

13.5 No Third-Party Beneficiaries

These Terms are for the benefit of you and NYECX only and do not create any third-party beneficiary rights.

13.6 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

13.7 Force Majeure

NYECX shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

13.8 Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and NYECX. You have no authority to bind NYECX or make any commitments on its behalf.

13.9 Export Control

You acknowledge that the Site may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and import laws and regulations and not to export, re-export, or transfer any Content from the Site in violation of such laws.

13.10 Notices

13.11 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any inconsistency or conflict.

14. Specific Disclaimers for Financial Information

14.1 Not a Registered Entity

NYECX is not currently registered with the U.S. Commodity Futures Trading Commission (CFTC) as a Designated Contract Market (DCM) or with any other U.S. regulatory authority. We are in the process of seeking such registration. Until registration is obtained, we cannot offer trading services to U.S. persons.

14.2 No U.S. Offer

Nothing on this Site constitutes an offer of services to U.S. persons. Information about our planned trading platform and event contracts is provided for informational purposes only and does not constitute an invitation or inducement to trade.

14.3 Market Data

Any market data, pricing information, or performance metrics displayed on the Site are for illustrative purposes only and may not reflect actual market conditions, past performance, or future results.

14.4 Risk Disclosure

Trading event contracts and derivatives involves substantial risk of loss. You should carefully consider whether such trading is suitable for you in light of your financial condition, investment objectives, risk tolerance, and other circumstances. You should not trade with money you cannot afford to lose.

14.5 No Professional Advice

NYECX is not a registered investment advisor, broker-dealer, or financial planner. We do not provide personalized investment advice or recommendations. Always consult qualified professionals before making financial decisions.
